Terms of Service

1. Acceptance of Terms

By accessing or using MucXic, creating an account, uploading content, buying downloads, joining campaigns, using wallet features, or interacting with any MucXic service, you agree to these Terms and to any policies linked from the platform. If you do not agree, you must not use MucXic.

If you use MucXic on behalf of a company, artist team, label, management group, or other organization, you confirm that you have authority to bind that organization to these Terms.

2. About MucXic

MucXic is a music discovery, artist self-management, promotion, creator collaboration, playlist, wallet, and support platform for independent musicians, listeners, creators, and industry collaborators.

Legal status: MUCXIC DISTRIBUTION LLP is a name reserved with the Uganda Registration Services Bureau (URSB), with registration approval pending. A name reservation is not a representation that the LLP has been registered or approved. These Terms will be updated with the registration number, registered office, and final operator details after registration.

MucXic helps artists release music, promote projects, connect with audiences, access campaign and creator tools, and find trusted music industry support. MucXic is not a record label, law firm, financial adviser, talent agency, or guaranteed management service unless a separate written agreement says otherwise.

3. Eligibility and Accounts

You must provide accurate registration information and keep your account details current. You are responsible for safeguarding your password, login credentials, wallet access, and all activity under your account.

You may not impersonate another person, create an account using false information, use another person's account without permission, or create accounts to bypass restrictions, suspensions, review requirements, or payment rules.

Some features may require email, phone, identity, artist, rights, or payment verification. MucXic may reject, limit, or suspend access where verification is incomplete, inaccurate, suspicious, or legally restricted.

4. Artist Uploads and Rights

You may upload music, artwork, videos, profile media, campaign materials, playlist content, and related information only if you own the rights or have all permissions required to use, publish, promote, monetize, and distribute that content through MucXic.

For each upload, you represent and warrant that the content does not infringe copyright, neighboring rights, trademark rights, privacy rights, publicity rights, contractual obligations, or any other third-party rights.

If you are not the sole owner of a song, beat, artwork, vocal, sample, feature, split, or other contribution, you must have valid permission or license proof before uploading. MucXic may request supporting documents and may remove, hide, or reject content if proof is missing or inadequate.

You remain responsible for publishing splits, collaborator approvals, royalty obligations, sample clearances, featured artist permissions, label approvals, and any reporting owed to third parties.

You are responsible for the files, content, metadata, instructions, and information you submit, upload, publish, or transmit through your account, including their legality, accuracy, quality, integrity, and the permissions needed to provide them. You must not provide another person's confidential, financial, identity, or personal information without a lawful basis and any required notice or consent.

This responsibility does not remove any security, privacy, consumer-protection, payment, moderation, or other obligation that applicable law places on MucXic, and it does not make you responsible for changes or misuse caused solely by MucXic or its service providers.

5. License You Grant to MucXic

You retain ownership of your uploaded content. By uploading or submitting content to MucXic, you grant MucXic a worldwide, non-exclusive, royalty-free license to host, store, process, stream, display, reproduce, adapt for technical formatting, promote, share, make available, and distribute that content as needed to operate, market, protect, and improve the platform.

This license includes the right to use song titles, artist names, profile information, cover art, previews, metadata, and public links for discovery, search, social previews, playlists, notifications, campaign delivery, and platform promotion.

You may remove or request removal of your content where platform tools allow it, but removal may not affect copies already shared, downloaded, purchased, cached, legally preserved, or needed for dispute, accounting, safety, or compliance purposes.

6. Review, Moderation, and Availability

MucXic may review uploads, profiles, campaigns, creator submissions, payments, and other activity for quality, safety, rights, fraud prevention, compliance, and platform integrity.

MucXic may approve, reject, hide, remove, restrict, demonetize, suspend, or disable content or accounts at any time if we reasonably believe there is a rights issue, security risk, payment problem, false information, abusive activity, legal risk, or violation of these Terms.

Review or approval by MucXic does not mean that MucXic verifies ownership, guarantees legality, endorses the content, or accepts liability for user submissions.

7. Listeners, Playlists, Search, and Sharing

Listeners may discover music, follow artists, create playlists, share public links, gift artists, buy or download eligible content, and interact with platform features.

MucXic Premium is a manually renewable 30-day subscription. Offline music is stored within the browser or app's private storage for playback through MucXic, remains subject to an active entitlement, and is removed when application data is cleared. Premium does not transfer ownership or redistribution rights.

You may not manipulate streams, favorites, followers, searches, playlist activity, contests, campaign metrics, or engagement data using bots, farms, fake accounts, automation, deceptive incentives, or other artificial activity.

Shared song links may display public metadata such as song title, artist name, cover art, and descriptions. Third-party apps may cache previews, and MucXic cannot guarantee when external previews update.

8. Downloads, Purchases, Wallet, and Payments

Certain songs, albums, campaigns, creator offers, promotions, gifts, or services may require payment. Prices, currencies, fees, and availability may vary by feature, country, payment provider, campaign type, or artist settings.

You agree to provide accurate payment and payout information. Payment providers, mobile money operators, banks, processors, and other third parties may apply their own terms, fees, limits, delays, reversals, or verification requirements.

MucXic applies the platform commissions and beneficiary allocations published in our Fees and Beneficiary Splits Policy. The applicable percentage is recorded when a successful transaction settles. Creator campaign service fees are added to the reward budget so creators receive the displayed reward in full.

Wallet information is sensitive. MucXic may require fresh password confirmation, identity checks, anti-fraud review, or other security steps before showing wallet data, funding a wallet, processing withdrawals, paying creators, or allowing sensitive actions.

Funds added to a MucXic wallet are stored-value credits intended for purchases and services available on MucXic. They are not bank deposits, do not earn interest, and cannot be transferred to another person or withdrawn through a different payment method. An unused, unfrozen deposit may be eligible for a full refund to the original card or Mobile Money source after review. Reversed, disputed, fraudulent, or charged-back payments may result in a corresponding wallet reversal, restricted balance, or account review.

Cleared artist and creator earnings are tracked separately from deposited spending credit and may be requested for payout after identity verification, minimum thresholds, fraud review, and any applicable maturity period. MucXic may reserve requested amounts, delay suspicious payouts, require a matching beneficiary, and apply the actual fee charged by the payout provider.

A price of 0.00 may represent a free download or free album where enabled. Free access may still be subject to login, availability, rights, verification, abuse prevention, and platform limits.

Unless a specific refund policy or written agreement states otherwise, completed digital purchases, promotion orders, campaign payments, creator claims, gifts, and downloadable content may be non-refundable once processing, access, or delivery has started.

9. Promotion Campaigns and Creator Program

MucXic may offer promotional campaigns, creator opportunities, social media activities, influencer-style collaborations, media exposure, playlist support, feedback delivery, and other artist growth services.

Campaign descriptions, quantities, timelines, deliverables, targeting, prices, and expected outcomes are estimates unless expressly stated as guaranteed in writing. MucXic does not guarantee streams, followers, viral performance, chart position, revenue, bookings, label interest, or specific career results.

Creators, influencers, promoters, and artists are responsible for truthful content, lawful conduct, platform policy compliance, and required advertising or sponsorship disclosures when content is paid, gifted, incentivized, or otherwise materially connected to a campaign.

MucXic may reject, pause, review, or remove campaign submissions that are misleading, low quality, fraudulent, infringing, unsafe, late, unverifiable, or inconsistent with campaign requirements.

10. Industry Connections and Professional Services

MucXic may help artists connect with producers, DJs, publicists, photographers, videographers, lawyers, promoters, event organizers, creators, and other music industry professionals.

Unless MucXic enters a separate written agreement, third-party professionals are independent providers and not employees, agents, or legal representatives of MucXic. You are responsible for deciding whether to work with them, negotiating terms, and verifying whether their services fit your needs.

MucXic may take steps to reduce fraud risk, but no platform can guarantee that every third-party interaction is risk-free. Report suspicious behavior, payment requests, impersonation, fake offers, or unsafe activity to MucXic support.

11. Prohibited Conduct

You may not use MucXic to:

• Upload, stream, sell, promote, or distribute content you do not have rights to use.
• Commit fraud, payment abuse, chargeback abuse, wallet abuse, identity misuse, or misleading campaign activity.
• Impersonate another person, artist, brand, company, or representative.
• Harass, threaten, exploit, defame, discriminate against, or harm other users.
• Post malware, phishing links, spam, illegal content, explicit non-consensual material, or abusive material.
• Scrape private data, reverse engineer the platform, bypass security, or interfere with service operation.
• Artificially manipulate searches, streams, purchases, downloads, followers, playlists, campaign metrics, contests, or wallet transactions.

12. Copyright and Rights Complaints

If you believe content on MucXic infringes your rights, follow our Copyright Complaint Policy and provide enough information to identify the work, locate the disputed content, verify your authority, and explain why the use is unauthorized.

MucXic may remove or disable access to disputed content while reviewing a complaint. We may also request additional proof from the uploader, preserve relevant records, restrict repeat infringers, or terminate accounts involved in repeated or serious rights violations.

False or abusive rights complaints may harm other users and may result in account restrictions or legal responsibility. If your content was removed by mistake, contact support with proof of ownership, authorization, or lawful use.

13. Privacy and Communications

MucXic handles personal information according to its Privacy Policy. By using the platform, you agree that MucXic may process account, profile, upload, payment reference, campaign, device, security, and usage information as needed to operate and protect the service.

You agree to receive service messages related to your account, uploads, campaigns, payments, wallet, security, verification, support, and important platform updates. Marketing messages may be managed according to available settings or applicable law.

14. Third-Party Services

MucXic may link to or integrate with third-party services, including payment processors, mobile money providers, email tools, analytics tools, social platforms, creator platforms, hosting services, and professional service providers.

MucXic is not responsible for third-party services, websites, fees, outages, policies, content, processing delays, or actions. Your use of third-party services may be governed by their own terms and privacy policies.

15. Platform Availability and Changes

MucXic may change, improve, suspend, limit, or discontinue any feature, content, campaign type, price, payment method, creator offer, wallet function, or service at any time. We may also perform maintenance or updates that temporarily affect availability.

We do not guarantee that MucXic will be uninterrupted, error-free, secure from every threat, compatible with every device, or available in every location.

16. Disclaimers

MucXic is provided on an "as is" and "as available" basis. To the fullest extent allowed by law, MucXic disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

MucXic does not guarantee career success, revenue, streams, playlist placement, viral growth, campaign performance, sponsorships, bookings, label deals, professional outcomes, or protection from every fraudulent actor.

17. Limitation of Liability

To the fullest extent allowed by law, MucXic and its owners, team members, contractors, partners, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost opportunities, reputational harm, or business interruption.

To the fullest extent allowed by law, MucXic's total liability for any claim related to the platform will not exceed the amount you paid directly to MucXic for the specific service giving rise to the claim during the three months before the claim arose, or the minimum amount required by applicable law.

18. Indemnity

You agree to defend, indemnify, and hold harmless MucXic and its owners, team members, contractors, partners, and service providers from claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from your content, account activity, rights violations, payment disputes, fraud, campaign activity, third-party disputes, or breach of these Terms.

19. Suspension and Termination

MucXic may suspend, restrict, or terminate your account, content, campaigns, wallet access, payouts, downloads, or other services if we reasonably believe you violated these Terms, created risk for users or the platform, failed verification, abused payments, infringed rights, or broke applicable law.

You may stop using MucXic at any time. Certain obligations, including rights licenses already granted for platform operation, payment obligations, dispute provisions, indemnity, disclaimers, and liability limits, may survive account closure where legally permitted.

20. Governing Law and Disputes

Until the pending entity registration and dispute forum are finalized, these Terms are governed by the laws of Uganda, subject to any mandatory consumer, data-protection, copyright, payment, or other law that applies to a user in another jurisdiction. The final entity name, registration details, registered office, and agreed forum will be added after registration and legal review.

Before filing a formal claim, you agree to contact MucXic support and give us a reasonable opportunity to resolve the issue informally, unless urgent legal action is required.

21. Changes to These Terms

MucXic may update these Terms from time to time. The updated version will be posted on this page with a revised date. Continued use of MucXic after changes are posted means you accept the updated Terms, unless applicable law requires a different process.
